Tool. I'm not a fan, but they have some good songs (and a lot of missed potential, methinks). I can't stand Dream Theater.

Scenes is not my favorite either, but still wins here. 
Tool's first couple of albums would be a tougher choice indeed.

Too easy. Even if I didn’t prefer Tool to DT in general, Scenes is not one of my favourite albums by DT by a very long shot, so it would not even give any competition to Undertow (which is probably the album most likely to have a chance at me choosing a DT album over). Against Lateralus, though? No chance!

Laterus is my favorite by Tool and i can't abide any DT so it's Tool easily

I wouldn't say that either album is overrated (at least that I know of) -- when talking overrated, I prefer to speak of specific claims that are made about music and bands. For instance, if someone genuinely claimed that Metropolis Part 2: Scenes From a Memory is undoubtedly the first true Prog album, then I would make the argument that that person has overrated its significance and should study the history of Prog more.

I don't like either album, and while I have listened to both in full, neither were memorable to me, other than I remember not enjoying either of them (I found Tool's album rather more palatable). I might listen to both in full again to try to remember the music, then wait a while to see which one's music I can best still remember, but after listening to portions of those tracks just now, I don't want to. That said, Tool has some music that I have heard and liked, and Dream Theater has some that I have quite enjoyed, such as "The Ytse Jam" because it reminds me in part of Spinal Tap's "Rock 'n' Roll Creation".
